Our Services are offered through various subscription plans with different features and pricing. Current pricing is available on our website and may be updated from time to time.
We may change our pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle.
All fees are exclusive of applicable taxes, duties, and assessments, which you are responsible for paying.
We strive to maintain 99.9% uptime for our cloud-based Services, calculated monthly excluding scheduled maintenance.
We may perform scheduled maintenance with reasonable advance notice. We will minimize disruption and typically schedule maintenance during off-peak hours.
If we fail to meet our uptime commitment, you may be eligible for service credits as outlined in our SLA documentation available upon request.
SuperNMS retains all rights, title, and interest in and to the Services, including all intellectual property rights. The Services are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
Any feedback, suggestions, or ideas you provide about our Services may be used by SuperNMS without restriction or compensation.
You may terminate your subscription at any time through your account settings or by contacting our support team. Termination will be effective at the end of your current billing period.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERNMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO SUPERNMS IN THE 12 MONTHS PRECEDING THE CLAIM.
SuperNMS shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, government actions, or internet service provider failures.
You agree to indemnify, defend, and hold harmless SuperNMS and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any disputes arising from these Terms or your use of the Services shall be resolved through the following process:
You agree that any arbitration or legal proceeding shall be limited to the dispute between you and SuperNMS individually. You waive any right to participate in class actions or class-wide arbitration.
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SuperNMS regarding the Services.
We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified to customers with reasonable advance notice.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
